Terms and Conditions of the CiNKO Black Friday Promotion

These Terms and Conditions (the "Promotion Terms") govern your participation in the CiNKO Black Friday Cashback Reward Promotion (the "Promotion"). By participating in the Promotion, you confirm that you have read, understood and agree to (i) these Promotion Terms, (ii) the CiNKO Digital Wallet Terms and Conditions, (iii) the CiNKO Visa Card Terms and Conditions, and (iv) CiNKO's Privacy Policy. In the event of a conflict between these Promotion Terms and the terms of the wallet or card, the terms of the wallet or card shall prevail in all matters relating to account usage, funding, card rules and regulatory compliance.

Description of the Promotion

Between November 28, 2025 and December 15, 2025 (the "Promotion Period"), eligible CiNKO users who load USDC 50 or more onto their CiNKO Visa Card during the Promotion Period will receive a USDC 5 reward credited to their CiNKO Wallet (the "Cashback Bonus").

2. Eligibility

To qualify for the Cashback Bonus, users must:
2.1. Have an active and valid CiNKO Account.
2.2. Have successfully completed all required KYC/AML checks.
2.3. Make a single load of at least 50 USDC (or equivalent) to their CiNKO Visa Card during the Promotion Period.
2.4. Have a card/account in good standing, with no suspensions, blocks or restrictions as per the CiNKO Visa Card Terms.
Only one (1) Cashback Bonus will be awarded per user, even if you make multiple qualifying loads. CiNKO reserves the right to disqualify users involved in suspicious or fraudulent activity.

3. Qualifying transactions

For a load to be a "Qualifying Load":
3.1. The load must be made between 00:00 UTC on 11/28/2025 and 23:59 UTC on 12/15/2025.
3.2. It must be a funding transaction permitted under the CiNKO Visa Card Terms.
3.3. Must be for a minimum amount of 50 USDC (or equivalent).
3.4. The account and card must comply with all terms, limits and restrictions set forth in the CiNKO Digital Wallet Terms and Conditions and CiNKO Visa Card Terms and Conditions.

4. Delivery of the Cashback Bonus

4.1. All Cashback Bonus will be credited to eligible users on or before December 22, 2025.
4.2. Cashback will be deposited in USDC directly into the user's CiNKO Mobile Wallet, subject to the normal terms of the wallet and card (balances, freezes, usability, etc.). 4.3.).
4.3. CiNKO reserves the right to delay or withhold payment if there is non-compliance with the terms of the wallet or card, or suspicion of misuse or fraud, and will contact the User to resolve it as soon as possible.

5. Relationship to the CiNKO Wallet and CiNKO Visa Card Terms

5.1. Incorporation: These Promotion Terms supplement, and do not replace, the CiNKO Wallet Terms ("Wallet Terms") and CiNKO Visa Card Terms ("Card Terms").
5.2. Precedence: In case of conflict (e.g., load, use, fraud, liability, jurisdiction), the Wallet Terms and Card Terms shall prevail.
5.3. Compliance: Users must ensure that their account, wallet and card comply with all requirements of the Wallet Terms and Card Terms.
5..4. Eligibility Conditions: If the User's wallet or card is suspended, blocked, limited or not in good standing at the time of loading or payment of the bonus, CiNKO may refuse the benefit.
5.5. No Waiver: Nothing in these Promotion Terms modifies any liability, waiver or limitation of the Wallet Terms or Card Terms.

6. Fraud, Misuse and Disqualification

CiNKO reserves the right (at its sole discretion) to disqualify any user from the Promotion (before or after payment) if:
6.1. There is evidence of fraud, abuse or attempted manipulation (including duplicate accounts or synthetic identities).
6.2. A Load is reversed, cancelled or does not comply with the Wallet Terms or Card Terms.
6.3. The User violates any law, regulation or CiNKO policy.
6.4. User's account or card is suspended or restricted under the Wallet Terms or Card Terms.

7. Data protection and privacy

Participation requires processing of personal data (identity verification, transaction data, wallet address). By participating, users agree that CiNKO processes such data in accordance with its Privacy Policy.

8. Technical problems and limitation of liability

CiNKO is not responsible for:
8.1. Network failures, blockchain delays or other third party disruptions.
8.2. Failures of external payment processors or systems.
8.3. User errors (incorrect transaction, wrong address, reversed upload).
8.4. Losses or disqualification resulting from User's failure to comply with the Wallet Terms or Card Terms.

9. Modification, suspension or termination

CiNKO may modify, suspend or terminate the Promotion, or these terms, at any time and for any reason. Changes will not affect users who have already completed a Qualifying Load and received their Bonus Cashback.

10. Applicable Law and Dispute Resolution

These Promotion Terms - and any disputes arising out of them - shall be governed by the same law and jurisdiction as set forth in the CiNKO Wallet Terms or CiNKO Visa Card Terms, as applicable. Disputes shall be subject to the exclusive jurisdiction of the courts designated in such agreements.

11. Final decision and interpretation

CiNKO's decisions on eligibility, qualification, bonus payout, disqualification or any aspect related to the Promotion are final and binding. Nothing in these Promotion Terms limits CiNKO's rights under the Wallet Terms or Card Terms.
